Terms of Service

Welcome to Focus Network. These Terms of Service (“Terms”) govern your access to and use of the Focus Network platform (the “Service”), operated by Focus Network (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

• You must provide accurate, current, and complete information when registering for an account.
• You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
• You must notify us immediately if you become aware of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent.

3. Acceptable Use

When using the Service, you agree not to:

• Submit false, misleading, or fabricated KPI data
• Impersonate another person or misrepresent your professional affiliation
• Use the Service for any unlawful purpose or to promote illegal activities
• Post spam, promotional content, or vendor solicitations in community discussions
• Harass, abuse, or threaten other users
• Attempt to gain unauthorized access to other users' accounts or to any part of the Service's infrastructure
• Scrape, crawl, or use automated means to extract data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service

4. User Content

“User Content” means any data, text, or materials you submit through the Service, including KPI submissions, posts, comments, and profile information.

• Ownership: You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content as necessary to operate and improve the Service.
• Anonymized data: You agree that we may aggregate and anonymize your KPI data to produce benchmarking statistics. Once anonymized, this data cannot be traced back to you or your organization.
• Responsibility: You are solely responsible for your User Content. You represent that you have all necessary rights to submit it and that it does not violate any third party's rights or any applicable law.
• Removal: We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, at our sole discretion.

5. AI Features

The Service includes AI-powered advisory features. You acknowledge and agree that:

• AI-generated recommendations are for informational purposes only and do not constitute professional consulting, financial, or legal advice.
• You should independently verify any AI-generated recommendations before acting on them.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for your specific situation.
• Your interactions with the AI advisor may be used to improve the quality of the Service, in accordance with our Privacy Policy.

6. Community Guidelines

Focus Network communities are spaces for professional discussion among supply chain and operations practitioners. In addition to the Acceptable Use rules above:

• Respect the privacy and anonymity of other members. Do not attempt to identify anonymous contributors.
• Community moderators have the authority to enforce community-specific rules, remove content, and restrict access to their communities.
• We reserve the right to remove communities or content that violates these Terms, even if community moderators have not taken action.

7. Intellectual Property

The Service, including its design, features, code, playbooks, benchmarking methodology, and branding, is owned by Focus Network and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

8. Third-Party Services

The Service integrates with third-party providers (e.g., Anthropic for AI, Resend for email). Your use of these integrations may be subject to the respective third party's terms and policies. We are not responsible for the practices of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. Benchmarking data is based on user submissions and publicly available sources; we do not guarantee its accuracy or completeness.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOCUS NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the greater of $100 USD or the amount you have paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Focus Network, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

12. Termination

• You may delete your account at any time through your account settings or by contacting us.
• We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.
• Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 4, 9, 10, 11, and 14) will remain in effect.

13. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
